Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nakul Foods mobile application and related B2B wholesale ordering services (together, the "Services"), operated by Nakul Foods ("we", "us" or "our"). By creating an account or placing an order, you agree to these Terms.

1. Eligibility

The Services are offered to businesses — such as kirana stores, retailers and restaurants — and to individuals aged 18 or over who are authorised to place orders on a business's behalf. By using the Services you confirm that you meet these requirements.

2. Accounts and access

You sign in using your mobile number and a one-time password (OTP). You are responsible for keeping access to your device and account secure, and for all activity that takes place under your account. Please tell us promptly if you believe your account has been used without your authorisation.

3. Orders and pricing

Prices shown are wholesale rates and may include tiered pricing based on order quantity. Prices, availability and pack sizes can change, and an order is confirmed only once we accept it. We may decline or cancel an order — for example, where an item is unavailable or where there is an error in price or description.

4. Trade credit

Where you are approved for it, Nakul Foods may offer in-house trade credit — a credit limit with agreed credit days, at 0% interest. This is our own trade credit and is not a loan from any third-party lender. Credit availability, limits and terms are set at our discretion and may be adjusted. Amounts owed are due within the agreed credit days, and repayments are applied to your outstanding dues. We may pause credit or require settlement of overdue amounts before accepting further orders.

5. Delivery

We deliver bulk orders to the address you provide. Delivery timelines are estimates. Transport charges, where applicable, are billed as actual. Please check goods on receipt and report any shortage or damage promptly so we can resolve it.

6. Invoicing and taxes

Orders are supplied with a tax invoice showing applicable GST and HSN details. You are responsible for providing accurate business and GSTIN information for correct invoicing, and for your own tax filings.

7. Acceptable use

• Use the Services only for lawful, business purposes.
• Provide accurate account, business and delivery information.
• Do not misuse, disrupt, or attempt to gain unauthorised access to the Services.
• Do not resell or use the app in a way that breaches these Terms or applicable law.

8. Liability

The Services are provided on an "as is" and "as available" basis. To the extent permitted by law, we are not liable for indirect or consequential losses. Nothing in these Terms limits any liability that cannot be limited under applicable law. Our total liability for any claim relating to an order is limited to the value of that order.

9. Changes and termination

We may update these Terms or the Services from time to time. Continued use after an update means you accept the revised Terms. We may suspend or close accounts that breach these Terms or where required by law.

10. Governing law

These Terms are governed by the laws of India, and any disputes are subject to the jurisdiction of the competent courts in India.
